These Terms of Use govern your access to and use of Speakly’s website, mobile applications, language-learning features, paid services, AI-assisted features, Community features, messaging, matching, reporting, moderation, and related services. By accessing or using Speakly, you agree to these Terms of Use, our Privacy Policy and, if you use Community features, our Community Guidelines. The Community Guidelines form part of these Terms. A breach of the Community Guidelines is a breach of these Terms. If you do not agree, do not use Speakly. 1. The Speakly service
  • Speakly is a language-learning service. It includes self-study tools, vocabulary training, listening, reading, speaking and writing exercises, AI-assisted features, paid subscriptions, and optional Community features.
  • Speakly Community is designed only for language practice, cultural exchange, and study-partner discovery. It is not a dating app, marketplace, recruitment service, advertising platform, or general social network.
2. Eligibility
  • You may not use Speakly if you are under 13.
  • If you are aged 13–17, you may use the core learning service only where permitted by law and, where required, with consent or involvement from a parent or legal guardian.
  • You must be at least 18 to access Community features, create a Community profile, send or receive Community messages, use study-partner matching, or participate in Community discovery.
  • You may purchase paid services only if you are legally able to enter into a purchase or if a parent or legal guardian lawfully makes the purchase.
  • You must not misrepresent your age. If we learn or reasonably suspect that you are under 18 and using Community features, we may immediately restrict or remove your Community access and may suspend or terminate your account where appropriate.
3. Accounts and Guest Mode
  • Speakly may allow you to use certain learning features without registering. In Guest Mode, progress may be stored locally or under a pseudonymous identifier and may be lost if you uninstall the app, clear data, reset identifiers, or change devices.
  • Guest Mode does not provide Community access. Community access requires registration, eligibility checks, and required verification steps.
  • To use all features, save progress across devices, purchase subscriptions, or access the Community, you may need to create an account.
  • You agree to provide accurate information, keep your account information up to date, use only one account, keep your password confidential, not share your account, not create accounts for others without permission, not create a new account after suspension or ban without Speakly’s written permission, and promptly notify us if you suspect unauthorised access.
  • You are responsible for activity that occurs through your account unless caused by Speakly’s fault.
  • Speakly may send service-related communications. Speakly may also send language-learning tips, feature updates, and promotional offers for Speakly’s own similar services where legally permitted. You may opt out of promotional emails at any time.
  • If you register using Sign in with Apple and choose to hide your email, Speakly may communicate with you through a private relay address. You are responsible for ensuring your relay settings allow you to receive Speakly communications.
4. Community access and safety
  • To access Community features, Speakly may require email verification, phone or WhatsApp verification, date of birth, profile information, profile photos, age checks, safety checks, anti-fraud checks, and agreement to the Community Guidelines.
  • Community access is strictly limited to users aged 18 or older. If your date of birth or age confirmation shows that you are under 18, Speakly will block your Community access.
  • Speakly may use phone or WhatsApp verification, date of birth confirmation, automated systems, AI-assisted profile-photo review, safety signals, user reports, moderation history, and other abuse-prevention checks to help detect suspected underage access, fake profiles, unsafe conduct, or violations of the Community Guidelines.
  • Where a profile, photo, report, or safety signal suggests that a user may be under 18 or otherwise ineligible for Community, authorised moderators may review available account, profile, photo, report, and safety information. This review is a safety and eligibility assessment, not formal identity-document verification. Unless Speakly expressly requests and processes identity documents in a specific case, Speakly does not verify users’ legal identity or official age through government ID checks.
  • If Speakly cannot reasonably determine that a user is eligible for Community, or if Speakly reasonably suspects that a user is under 18, Speakly may restrict, suspend, or permanently remove Community access.
  • Speakly may refuse, restrict, suspend, or remove Community access where we believe it is necessary for safety, fraud prevention, age enforcement, legal compliance, abuse prevention, or protection of users.
  • Passing verification or safety checks does not mean Speakly has verified your legal identity, official age, background, character, intentions, language ability, or suitability as a study partner.
  • You are responsible for your interactions with other users. Speakly does not conduct background checks and does not guarantee that users are who they say they are.
  • Use caution when sharing information. Do not share passwords, payment information, government IDs, home addresses, private contact details, intimate photos, verification codes, or sensitive personal information.
  • Speakly strongly recommends keeping communication inside Speakly. Speakly is not responsible for interactions that occur outside the service, including meetings, calls, messages, payments, or exchanges through third-party apps, websites, social media, or offline interactions.
5. User Content
  • “User Content” means content you submit, upload, send, display, or create through Speakly, including profile photos, names, profile information, messages, voice messages, corrections, translations, reports, comments, learning responses, uploaded media, support messages, and other content shared through Speakly.
  • You are responsible for your User Content. You represent and warrant that you have the right to submit it, that it is accurate where factual, that it does not violate law, that it does not infringe third-party rights, and that it complies with these Terms and the Community Guidelines.
  • You retain ownership of your User Content.
  • By submitting User Content, you grant Speakly a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, copy, display, transmit, adapt, translate, process, analyse, moderate, remove, and otherwise use that content as necessary to operate, secure, and improve Speakly; provide learning and Community features; deliver messages, corrections, translations, and recommendations; recommend study partners; moderate content; investigate reports; process appeals; enforce these Terms and the Community Guidelines; comply with law; and protect users and Speakly.
  • For private Community communications, this licence is limited to operating, securing, moderating, improving, and enforcing the service, and does not give Speakly the right to use private messages in public marketing without your permission.
  • This licence ends when your content is deleted from our systems, except where retention is necessary for legal, safety, backup, dispute, fraud-prevention, moderation, or enforcement purposes.
6. Speakly content and intellectual property
  • Speakly and its licensors own the service, including software, design, interfaces, lessons, vocabulary, audio, graphics, text, methods, trademarks, logos, and other materials.
  • Speakly is a registered trademark.
  • You receive a limited, personal, non-exclusive, non-transferable, revocable right to use Speakly for lawful personal language learning.
  • You may not copy, reproduce, sell, rent, sublicence, or commercially exploit Speakly content; exploit any part of Speakly for commercial purposes without written permission; frame Speakly trademarks, logos, page layout, images, or proprietary information; use Speakly trademarks, meta tags, or hidden text without written permission; reverse engineer or attempt to extract source code; scrape, harvest, or bulk-download content; bypass paywalls or access controls; use Speakly content to build a competing service; or remove copyright, trademark, or proprietary notices.
7. AI-assisted features and study-partner matching
  • Speakly may provide AI-assisted features, including corrections, translations, explanations, study recommendations, moderation tools, message suggestions, and conversation starters.
  • These features are educational aids only. Speakly does not guarantee that AI-generated, automated, or user-generated learning content is accurate, complete, safe, suitable, or error-free. You should use your own judgement and not rely on Speakly for legal, medical, financial, immigration, emergency, or other professional advice.
  • Speakly may recommend, rank, or prioritise study partners using signals such as language preferences, interests, activity, location, learning progress, profile data, XP, reports, blocks, subscription status where relevant, and safety indicators.
  • Recommendations are not endorsements. Speakly does not guarantee compatibility, safety, quality, responsiveness, language ability, identity, intentions, or learning outcomes from any study partner.
8. Acceptable use
  • You must not violate any law; use Speakly for dating, sexual solicitation, scams, harassment, spam, or illegal activity; impersonate others; misrepresent your age, identity, intentions, or language ability; create fake accounts; evade bans; upload harmful, illegal, infringing, sexual, violent, hateful, exploitative, or abusive content; solicit money, gifts, payment information, passwords, verification codes, or personal financial information; advertise, sell, recruit, or promote external services without permission; harvest user data; use bots, scrapers, scripts, or automation without permission; interfere with security or service operation; upload malware; attack our systems; misuse reporting, appeals, or support systems; exploit bugs or vulnerabilities; circumvent limits, paywalls, restrictions, bans, verification, or moderation measures; or use Speakly in a way that harms users, Speakly, or the integrity of the service.
  • Community-specific rules are set out in the Community Guidelines.
9. Moderation, reports, and enforcement
  • Speakly may use automated systems, AI, human review, user reports, and safety signals to detect, prevent, and respond to violations.
  • We may review reported content, profile photos, Community profiles, message context related to reports or safety flags, voice messages submitted in reports or flagged for safety, account history, verification data, suspected underage-access signals, safety signals, and appeal information.
  • We may remove or hide content, reject profile photos, restrict visibility, limit messaging, temporarily freeze Community access, suspend Community access, permanently ban Community access, suspend or terminate accounts, retain limited evidence of violations where necessary, prevent banned users from returning, and cooperate with authorities where necessary.
  • We do not monitor every private communication in real time and cannot guarantee that all harmful conduct will be detected.
  • If you believe content or conduct on Speakly is illegal or violates our rules, you may report it through in-app reporting tools or by contacting hello@speakly.me. Reports should include enough information for us to identify and assess the issue.
  • We may reject incomplete, abusive, bad-faith, repetitive, or clearly unfounded reports. We may restrict users who repeatedly submit manifestly unfounded reports, abusive appeals, false complaints, coordinated mass reports, or bad-faith notices.
10. Automated moderation and protective restrictions
  • Speakly may use automated systems, including AI, to detect spam, fraud, scams, nudity, sexual content, harassment, hate speech, threats, illegal content, underage access, and other safety or policy risks.
  • Where automated systems detect severe safety, illegal, or explicit content with high confidence, Speakly may apply a temporary protective restriction, content quarantine, or Community freeze before human review where necessary to protect users or the service. Temporary protective restrictions, content quarantine or Community freezes may also be triggered by repeated reports, patterns of reports from multiple users, safety signals or abuse-prevention indicators pending human review.
  • Permanent Community bans or significant account restrictions may be reviewed by human moderators where required by law or where Speakly provides an appeal process.
  • Automated systems may make mistakes. You may appeal eligible enforcement decisions as described below.
11. DSA point of contact, statements of reasons, and appeals
  • For matters relating to the EU Digital Services Act, users, authorities, and trusted flaggers may contact Speakly at hello@speakly.me. Communications may be made in English or Estonian unless another language is required by law.
  • Where required by law or where we provide notice of a significant enforcement action, Speakly may provide a statement of reasons explaining the type of restriction, the rule or legal basis involved, and whether automated tools were used.
  • You may appeal eligible enforcement decisions by following in-app instructions or emailing hello@speakly.me with the subject line “Appeal”. Include your account email, the decision being appealed, why you believe the decision was wrong, and any relevant context.
  • Appeals are reviewed in a timely, diligent, non-discriminatory, and non-arbitrary manner where required by law. We may decline appeals that are abusive, repetitive, fraudulent, submitted after an unreasonable delay, or manifestly unfounded. Submitting an appeal does not guarantee that a decision will be reversed.
  • Where applicable under the EU Digital Services Act, users may also have the right to refer certain content moderation disputes to a certified out-of-court dispute settlement body.
12. Blocking, deleting, and user controls
  • Speakly may allow you to block users, delete study partners, remove chats, or restrict interactions. Blocking is a personal control feature. It helps stop that user from contacting or appearing to you, but a single block does not automatically freeze, restrict or suspend the other user’s account.
  • Blocking or deleting a study partner may affect your experience, but may not delete all data from Speakly systems or from the other user’s account where retention is needed to provide the service, comply with law, prevent abuse, investigate reports, or protect users.
  • You must not create new accounts or use alternative methods to contact someone who blocked you, deleted you, or asked you to stop.
13. Paid services, subscriptions and purchases
  • Speakly offers free and paid features. Paid options may include monthly, annual, Lifetime, Family Lifetime, promotional, trial or other plans.
  • Prices, features, renewal terms and billing intervals are shown before purchase. Paid access may not include every current or future feature unless expressly stated at purchase.
  • Some Community discovery, invite, matching, messaging, visibility or other premium features may require a paid plan, depending on the offer shown to you.
  • Website purchases may be processed through Stripe, PayPal, Maksekeskus AS, bank transfer, invoice or other payment providers. By making a website purchase, you authorize the relevant payment provider to charge the applicable amount. Recurring website subscriptions renew automatically unless cancelled before the renewal date.
  • Purchases made through Apple App Store or Google Play are processed by Apple or Google. Cancellation, renewal, refund and payment management for in-app purchases are handled through your Apple or Google account. Deleting the Speakly app or deleting your Speakly account does not automatically cancel an App Store or Google Play subscription.
  • Speakly may offer free trials. Unless stated otherwise, a free trial may convert into a paid subscription at the end of the trial period if you do not cancel before the trial ends. Trial terms are shown before purchase.
  • You may cancel a recurring subscription at any time. Cancellation takes effect at the end of the current billing period unless otherwise required by law or platform rules. You will continue to have paid access until the end of the paid period.
14. Lifetime and Family Lifetime plans
  • If offered, a Lifetime plan provides access to the included paid Speakly learning content for the lifetime period described at purchase.
  • “Lifetime” means up to 100 years from purchase or until Speakly permanently discontinues the relevant service on all platforms, whichever occurs first.
  • Lifetime plans do not guarantee that all current features will remain unchanged forever. Speakly may modify, replace, discontinue or reorganize features for technical, legal, commercial, safety or product reasons.
  • Lifetime plans do not include separate third-party services, live courses, tutoring, enterprise services, business services or future products.
  • If offered, Family Lifetime plans allow a limited number of users to access paid features under one purchase, as described at purchase. Family members must comply with these Terms. Speakly may restrict or remove access if a Family plan is misused, resold, shared publicly or used outside permitted limits.
  • Community features remain subject to individual eligibility, verification and age requirements. A Family plan does not allow users under 18 to access Community.
15. Refunds and withdrawal rights
  • Refund rights depend on where and how you purchased.
  • For Apple App Store purchases, request refunds through Apple. For Google Play purchases, request refunds through Google.
  • For website purchases, consumers in the EU, EEA, UK and other applicable regions may have a 14-day withdrawal right for distance contracts, unless the right is waived, lost or otherwise limited under applicable law, including where you request immediate access to digital content or digital services and acknowledge that withdrawal rights may be affected.
  • To exercise a withdrawal right for a website purchase, you must inform Speakly of your decision to withdraw by an unequivocal statement sent to hello@speakly.me within 14 days of purchase. You may use the model wording: “I withdraw from my contract for the purchase of Speakly services. Ordered on: [date]. Account email: [email]. Name: [name].”
  • If a refund is due, Speakly will reimburse the payment without undue delay and no later than 14 days after we are informed of your withdrawal, using the same payment method where possible unless otherwise agreed.
  • Except where required by law, Speakly does not provide refunds after the applicable withdrawal or refund period.
  • Removal, suspension or restriction caused by your violation of these Terms or Community Guidelines does not automatically create a refund right, except where required by mandatory law.
16. Service changes, suspension and termination
  • We aim to provide continuous access to Speakly. However, we may modify, suspend, replace or discontinue features, content, languages, Community functions, subscription plans or availability for product, technical, legal, safety, fraud-prevention, commercial, security or third-party-dependency reasons.
  • Where legally required and where a change materially affects paid access, we will provide notice.
  • You may stop using Speakly at any time and may request account deletion.
  • Speakly may suspend, restrict or terminate your account if you violate these Terms, violate the Community Guidelines, misuse the service, create safety risk, engage in fraud, infringe rights, violate law, attempt to evade a ban, restriction or verification requirement, or if continued access would create risk for users or Speakly.
  • After termination, some provisions continue, including intellectual property, payment obligations, disclaimers, limitation of liability, dispute terms, enforcement records and any provisions that by nature should survive.
17. Third-party services
  • Speakly may integrate or link to third-party services, such as payment providers, app stores, analytics providers, authentication providers, AI providers, moderation providers, communication providers or external websites.
  • Third-party services are governed by their own terms and policies. Speakly is not responsible for third-party services unless required by law.
18. Product descriptions and no guaranteed results
  • Speakly attempts to describe its products and services accurately. However, Speakly does not warrant that product descriptions, feature descriptions, pricing information or other content are always accurate, complete, reliable, current or error-free. If a product or pricing description contains an obvious mistake, Speakly may correct it and, where legally permitted, cancel or reverse an affected order.
  • Speakly does not guarantee that you will learn a language within a specific time, reach a specific level, remember all vocabulary, find a suitable study partner, receive messages or replies, avoid encountering inappropriate users, have uninterrupted access, receive any particular Community visibility, ranking or match, or achieve any particular learning outcome.
  • Learning outcomes depend on many factors, including your effort, consistency, background and use of the service. Speakly is not responsible for the results of your future use of languages that you may or may not have learned through the service.
19. Disclaimers, liability and indemnity
  • Speakly is provided “as is” and “as available”.
  • To the maximum extent permitted by law, Speakly disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy, reliability and error-free operation.
  • To the maximum extent permitted by law, Speakly OÜ is not liable for indirect or consequential losses, lost profits, lost data, loss of goodwill, loss caused by user conduct, loss caused by third-party services, learning outcomes, Community interactions, off-platform interactions, unauthorized access caused by your failure to protect credentials, content or advice provided by other users, or inaccurate AI-generated, automated or user-generated learning content.
  • Where liability cannot be excluded by law, Speakly’s liability is limited to the amount you paid to Speakly in the 12 months before the event giving rise to the claim, unless a higher amount is required by mandatory law.
  • Nothing in these Terms limits mandatory consumer rights or excludes liability for death, personal injury, intentional misconduct, gross negligence, fraud or liability that cannot be limited by law.
  • Where permitted by law, you agree to indemnify and hold Speakly OÜ harmless from claims, damages, losses, liabilities, costs and expenses arising from your User Content, your violation of these Terms, your violation of the Community Guidelines, your misuse of the service, your violation of law, your infringement of third-party rights or your off-platform interactions with other users. This does not limit mandatory consumer protections.
20. Governing law, disputes and updates
  • These Terms are governed by the laws of Estonia.
  • If you are a consumer in the EU, EEA, UK or another jurisdiction with mandatory consumer protection laws, you may also have mandatory rights under the laws of your country of residence. Nothing in these Terms limits those rights.
  • Please contact hello@speakly.me first so we can try to resolve the issue.
  • If a dispute cannot be resolved, it will be handled by the competent courts of Estonia, unless mandatory consumer law gives you the right to bring a claim in your country of residence.
  • You may also have the right to contact a consumer protection authority or use applicable consumer dispute-resolution mechanisms in your country of residence.
  • We may update these Terms from time to time. We will publish the updated version with a new effective date. Where changes are material, we may notify you through the app, website, email or another appropriate channel.

  • If any part of these Terms is found invalid, void or unenforceable, that part will be treated as severable and will not affect the validity and enforceability of the remaining terms.
